Who is eligible to register a company in Bhutan?
According to the local law, two or more individuals who are at least 18 years of age are eligible to register a company in Bhutan under the Companies Act of the Kingdom of Bhutan 2000. The act declares that individuals who are seeking a Bhutan company registration approval need to be willing to register an entity as a company under this act to be considered eligible.
Applying for Bhutan Company Registration
Individuals seeking to register a company in Bhutan under the Companies Act of the Kingdom of Bhutan must provide the following documentation for the process to proceed:
- Provide the original citizenship identity card which is to be produced at the Company Registry Division, Department of Industry during the time the application and documents for the registration of the company are submitted.
- The forms will be set out in Schedule 1 of the Companies Act of the Kingdom of Bhutan.
- Provide the name and the address of the first and Chief Executive Officer of the company.
- According to the Companies Act of the Kingdom of Bhutan 2000, consent to act as directors of the company must be given and signed duly by the first directors in the form which has been set out as Schedule II.
- A declaration must be given by one or more of the directors in the form set out in Schedule II of the Companies Act of the Kingdom of Bhutan.
- Sectoral clearance from the concerned sector and the industrial license number must also be produced.
Non-Bhutan citizens who are interested in acquiring a registered Bhutan company are still able to incorporate the company, as long as the application has been approved by the Ministry of Trade and Industry.
